Terms of Service

1. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for all activity under your account and for keeping your sign-in credentials secure. You agree to provide accurate information and to keep it up to date.

2. Description of the Service

FlexaMenu lets restaurants upload menus and related documents, generate QR codes, and provide customers with an AI assistant that answers questions about the menu. Features and availability may change over time.

3. Free Trial, Subscriptions, and Billing

• Paid plans are offered on a monthly subscription basis. A 14-day free trial is available where indicated.
• Subscriptions renew automatically at the end of each billing period unless cancelled beforehand.
• Fees are charged in advance and, except where required by law, are non-refundable.
• We may change pricing with reasonable advance notice; changes apply to the next billing period.

4. Cancellation and Termination

You may cancel your subscription at any time from your dashboard; access continues until the end of the current billing period. We may suspend or terminate your account if you violate these Terms or if required for security or legal reasons.

5. Your Content

You retain ownership of the menus, documents, and other content you upload ("Your Content"). You grant Summit AI a non-exclusive, worldwide license to host, process, and display Your Content solely to operate and provide the Service. You represent that you have the rights to upload Your Content and that it does not infringe any third-party rights or violate any law.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purpose.
• Upload content that is illegal, infringing, or misleading.
• Attempt to gain unauthorized access to the Service or interfere with its operation.
• Reverse engineer, resell, or misuse the Service except as permitted by these Terms.
• Use the Service to send spam or to collect data without proper consent.

7. AI-Generated Content and Accuracy

The Service uses artificial intelligence to generate responses. AI output may be inaccurate, incomplete, or out of date. This includes information about ingredients, allergens, and dietary suitability.

The AI assistant is a convenience tool and is not a substitute for verification by trained restaurant staff. You are responsible for the accuracy of the menu and documents you upload and for ensuring that customers with allergies or dietary restrictions receive accurate information. Summit AI is not liable for decisions made in reliance on AI-generated output.

8. Intellectual Property

The Service, including its software, design, and branding, is owned by Summit AI Inc. and protected by intellectual property laws. These Terms do not grant you any right to our trademarks or to the Service except the limited right to use it as intended.

9. Third-Party Services

The Service relies on third-party providers, including AI and infrastructure providers. We are not responsible for third-party services, and their availability may affect the Service.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the maximum extent permitted by law, Summit AI Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim.

12. Indemnification

You agree to indemnify and hold harmless Summit AI Inc. from claims, damages, and expenses arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.

13. Governing Law

These Terms are governed by the laws of Canada and the applicable Canadian province or territory in which Summit AI Inc. operates, without regard to conflict-of-law principles. Disputes will be subject to the jurisdiction of the courts located in Canada.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance.
